Terms of Service
Effective October 12, 2026
These Terms of Service (“Terms”) govern use of superposition.digital (the “Site”) and the services offered by Superposition Digital LLC, a Wyoming limited liability company (“Superposition Digital” or the “Company”). By using the Site or engaging the Company, you agree to these Terms. If you use the Site or the services on behalf of a business, you agree for that business and confirm you have authority to do so.
1. Services
The Company designs, builds, and maintains custom software, automation, and AI systems for businesses. Each engagement is described in a written proposal, statement of work, or services agreement accepted by both parties (an “Engagement Agreement”), which sets out the scope, deliverables, schedule, fees, and acceptance criteria. If an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls.
The services are offered to businesses, not to consumers for personal, family, or household use.
2. Fees and Payment
Fees are stated in U.S. dollars (USD) in the Engagement Agreement or invoice and exclude taxes unless stated otherwise. Payment is due as stated in the Engagement Agreement or invoice. Payments may be made by bank transfer or through third-party payment processors. Card and bank details are handled by those processors, which comply with the Payment Card Industry Data Security Standard (PCI DSS). The Company does not store full card numbers.
3. Refunds and Cancellation
Either party may end an engagement as provided in the Engagement Agreement. Unless the Engagement Agreement says otherwise:
- you may cancel an engagement by written notice to the contact address below;
- fees for work performed and expenses incurred up to the effective date of cancellation remain payable; and
- prepaid fees for work not yet performed are refunded, less any non-cancellable costs already committed on your behalf, to the original payment method within 30 days of the cancellation date.
Except as stated in this section or in the Engagement Agreement, fees paid are non-refundable. Questions about a charge can be sent to the contact address below before any dispute is filed with a card issuer.
4. Delivery
Services and deliverables are delivered electronically, for example as source code, hosted systems, configuration, documentation, or reports, on the schedule in the Engagement Agreement. No physical goods are shipped.
5. Ownership of Work
Ownership of deliverables is set out in the Engagement Agreement. Unless it says otherwise, ownership of deliverables created specifically for you passes to you once they are paid for in full. The Company keeps all rights in its pre-existing and generally applicable tools, libraries, components, methods, and know-how (“Company Materials”), including improvements to them, and grants you a non-exclusive, perpetual license to use any Company Materials incorporated in your deliverables as part of those deliverables.
6. Confidentiality
Each party will protect the other’s confidential information as set out in the Engagement Agreement or a separate nondisclosure agreement.
7. Free Resources
White papers, examples, and other materials offered on the Site are general information. Figures in them are illustrations, not quotes, estimates, or predictions for any business. They are not financial, accounting, tax, or legal advice.
8. Use of the Site
You may use the Site for lawful purposes. You agree not to interfere with or disrupt the Site or its security; access it by automated means to copy content or collect contact details; submit false information or send unsolicited messages through its forms; or use it in violation of any law.
The Site’s content, design, and marks belong to the Company or its licensors. You may view and share its pages to evaluate the Company’s services but may not copy, modify, or republish them without written permission.
9. Third-Party Services
The Site and the services rely on third-party providers, such as hosting, email delivery, scheduling, and payment processing, and the Site may link to third-party websites. Those providers’ own terms and privacy policies govern their services. The Company is not responsible for third-party websites or services.
10. Legal and Export Restrictions
You are responsible for complying with the laws that apply to your use of the services, including U.S. export control and sanctions laws. The Company does not provide services to persons or entities on U.S. government restricted-party lists or in countries or regions subject to comprehensive U.S. sanctions.
11. Disclaimers
The Site and its free materials are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Any warranties for paid services are only those stated in the Engagement Agreement.
12. Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from the Site or the services. Unless the Engagement Agreement sets a different limit, the Company’s total liability for any claim relating to the services is limited to the fees you paid for the services giving rise to the claim during the twelve months before the claim arose, and for any claim relating only to use of the Site, to one hundred U.S. dollars.
13. Indemnity
You agree to indemnify and hold the Company harmless from claims arising from your misuse of the Site or your violation of these Terms or of law.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Wyoming, and each party consents to their jurisdiction. If an Engagement Agreement provides a different dispute process, that process controls for that engagement.
15. Changes
The Company may update these Terms by posting a revised version on this page with a new effective date. Changes apply from that date and do not alter accepted Engagement Agreements.
16. General
If any provision of these Terms is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without the Company’s written consent. These Terms and any Engagement Agreement are the entire agreement on their subject.
